Terms of Service

Last updated: September 14, 2026

These Terms of Service ("Terms") are a binding agreement between you and MEDICI + MAESTRO LLC, doing business as MaestroX Studio ("MaestroX Studio," "we," "us," or "our"), governing your access to and use of the MaestroX Studio platform, websites, and related services (collectively, the "Service"). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

MaestroX Studio provides a client-portal and workflow platform that agencies and similar businesses ("Customers") use to manage their own clients, campaigns, assets, communications, and related work. Features and functionality may change over time. We may add, modify, or remove features at our discretion.

2. Accounts & Eligibility

3. Free Trial, Subscriptions & Billing

Free trial

We may offer a free trial (currently 7 days). A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged for the selected plan.

Fees & payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected) and are processed by our payment processor, Stripe. By providing a payment method, you authorize us and Stripe to charge all fees for your plan and any add-ons you select, plus applicable taxes, until you cancel. One-time fees (for example, setup fees) are charged when incurred.

Renewals & price changes

Subscriptions renew automatically for successive terms unless canceled. We may change pricing or plan features; we will provide reasonable notice, and changes take effect on your next renewal.

Cancellation & refunds

You may cancel at any time through your account or billing portal; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or add-ons.

Past-due accounts

If a payment fails, we may suspend or restrict access until the balance is paid. We may place the workspace in a read-only state or terminate it for continued non-payment.

Taxes

Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, other than taxes on our net income.

4. Your Content & Client Data

"Customer Data" means the data, files, assets, and information you or your users submit to the Service, including information relating to your own clients and their end users. As between you and us, you own and are responsible for your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Service and as otherwise permitted by our Privacy Policy.

You are responsible for: (a) the accuracy and legality of Customer Data; (b) having all necessary rights and consents to submit it and to authorize our processing of it; and (c) your and your clients' compliance with applicable laws, including privacy and marketing/communications laws. Where we process personal data on your behalf, we act as a processor and you act as the controller.

5. Acceptable Use

You agree not to, and not to permit anyone to:

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Service or others.

6. Agencies & Their Clients

The Service is designed for Customers to manage relationships with their own clients, including under a Customer's own branding where available. You are solely responsible for your relationship with, and the content and communications you deliver to, your clients and their end users, and for any agreements between you and them. We are not a party to those relationships.

7. Third-Party Services

The Service integrates with third-party services (for example, payment processing, email and SMS delivery, analytics, cloud hosting, and AI features). Your use of those integrations may be subject to the third party's terms, and we are not responsible for third-party services. Details of key providers appear in our Privacy Policy.

8. Intellectual Property

We and our licensors own all right, title, and interest in and to the Service, including all software, designs, and trademarks (excluding Customer Data). We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. Feedback you provide may be used by us without restriction or obligation.

9. Confidentiality

Each party may access the other's non-public information. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms, except as required by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You will defend, indemnify, and hold harmless MaestroX Studio and its affiliates from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Service, your relationships with your clients, or your violation of these Terms or applicable law.

13. Term & Termination

These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or where required by law. Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period following termination, as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Philadelphia County, Pennsylvania for any dispute not subject to arbitration or small-claims resolution.

16. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
